R. Jason Griffin has been licensed to practice in Texas since 2006. He is an entrepreneur’s attorney, helping actualize their vision and navigate the process of structuring their business, building and optimizing their business along the way—whether through organic growth or acquisition, and later packaging it to sell. Jason is acutely aware of the unique intertwining of the entrepreneur’s finances and their business and works with the entrepreneur to protect their wealth.

He has assisted his clients in building wealth, developing estate plans that ensure a smooth probate process, and minimizing the liability of all taxes to which they are subject. He is comfortable dealing with matters from the simple to the more complex.

Some of the specific transactions he has arranged for his clients in the past and in this arena are:

  • Devised & implemented installment sales of assets to intentionally defective grantor trusts.
  • Drafted simple & tax-planning wills.
  • Devised & implemented discounting strategies to minimize estate and gift taxes via family limited partnerships.
  • Drafted various types of trusts, e.g., dynastic asset protection trusts, life insurance trusts.
  • Judicially terminated trust without termination provisions.
  • Drafted premarital/marital agreements.
  • Probated wills allowing for independent administration; managed the administration; and transferred assets to heirs.
  • Drafted operating and partnership agreements, accounting for complex ownership and capital account arrangements, e.g., preferred classes, neutralization allocation provisions, incentive distribution rights.
  • Structured entities to minimize employment taxes for taxpayers utilizing active or passive nature of income.
  • Advised on & implemented sales and/or purchases of various types of businesses and assets.

Prior to practicing law, he founded and operated a mortgage bank & brokerage across three states and with over thirty employees. His business and entrepreneurial experience has helped him to see beyond the textbook to assist his clients in their very real-life estate and business planning needs.

Mr. Griffin was born in Shreveport, Louisiana. However, after attending the University of Texas at Austin, he moved to Houston, Texas and has resided there since 2000.
